Terms of service

The agreement between NeoLoyal and the businesses that use it.

These terms govern your use of NeoLoyal — the website at neoloyal.com, the dashboard at app.neoloyal.com, and the NeoLoyal Business mobile app. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

The service

NeoLoyal provides digital loyalty programmes for local businesses: stamp cards, rewards, a counter app for issuing and redeeming, and a dashboard for running the programme. We may add, change or withdraw features. If we withdraw something you depend on, we will give reasonable notice.

Accounts

  • You must be 18 or over and give accurate details.
  • You are responsible for what happens under your account, including what your staff do with the access you grant them.
  • Keep your credentials to yourself. Tell us promptly if you think an account has been compromised.
  • Accounts are created on the web. The mobile app signs people in and accepts staff invitations; it does not register businesses.

Plans and payment

  • Subscriptions are bought and managed on the dashboard at app.neoloyal.com. Payments are processed by Stripe; we do not store your card details.
  • Fees are charged in advance for each billing period and renew automatically until you cancel. Cancelling stops the next renewal; it does not refund the current period.
  • We may change prices with at least 30 days' notice before the change takes effect for you. Continuing to use a paid plan after that is acceptance of the new price.
  • If a payment fails we may suspend paid features until it succeeds. Your data is not deleted for non-payment without notice.

Your data and your customers

You own your business data and the customer records you create. We hold them on your behalf and process them only to run the service, as described in ourprivacy policy.

You remain the data controller for your customers, which means you are responsible for:

  • Having a lawful basis for collecting their details.
  • Telling them what you collect and why.
  • Obtaining consent before sending them marketing, and honouring withdrawals of it.
  • Answering their access and deletion requests, which you can action from your dashboard.

Acceptable use

You may not use NeoLoyal to:

  • Break the law, or run a promotion that would be illegal where you operate — including unlicensed gambling or prize draws.
  • Advertise a reward you do not intend to honour.
  • Issue stamps or redeem rewards fraudulently, whether against your own programme or somebody else's.
  • Upload malware, or attempt to breach, overload or reverse-engineer the service.
  • Send unsolicited marketing, or import contacts who did not agree to hear from you.
  • Resell or white-label the service without a written agreement with us.

We may suspend an account that breaches this section, and will tell you why.

Intellectual property

NeoLoyal and its software, design and brand remain ours. You get a non-exclusive, non-transferable right to use the service for the term of your subscription. Your business name, logo and content remain yours; you grant us the licence needed to display them inside the product — on your customers' cards, posters and emails.

Availability

We work to keep the service running but do not promise it will be uninterrupted or error-free. Maintenance, third-party outages and events outside our control happen. The counter app holds stamps offline and sends them when a connection returns; redemptions and queue approvals deliberately require a connection, because a voucher spent twice is money.

Ending the agreement

  • You can cancel or delete your account at any time from the dashboard or the app.
  • We may terminate for a material breach that is not fixed within 14 days of notice, or immediately for unlawful use.
  • On termination your access ends and your data is deleted on the schedule in the privacy policy. Export anything you want to keep first.

Liability

The service is provided "as is" to the fullest extent the law allows. We are not liable for lost profits, lost customers, or indirect or consequential loss. Where liability cannot be excluded, it is capped at the fees you paid us in the 12 months before the claim. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Changes to these terms

We may update these terms. Material changes will be emailed to account holders at least 30 days before they take effect. Continuing to use the service after that is acceptance.

Governing law

These terms are governed by the laws of the jurisdiction in which NeoLoyal is established, and disputes go to its courts. If you are a consumer, this does not remove the protection of the mandatory law of the country you live in.
